When a contract has been uploaded, it appears in the inbox. There, you review the information that Tagd has extracted, correct anything that needs correcting, and move the contract to the right folder. The contract is then registered.
The inbox is available to all administrators. If you uploaded a contract yourself, you can register it even if you are not an administrator.
Click the contract in the inbox. You will then see the information that Tagd has extracted.
Until someone has reviewed the contract, an icon with a crossed-out eye and the text stating that the contract has not been reviewed are displayed. This way, you can always see which details have only been extracted automatically and which have been checked by a person.
At the top of the page, Tagd shows what needs to be done with the contract, for example, that all the information has been extracted and the contract is ready for review.
A purple magic wand appears next to the extracted details.
Hover over the magic wand to see how Tagd reasoned.
Click the magic wand to open the agreement on the right. The relevant passage in the agreement that the task is based on will be highlighted.
Click once more to correct or supplement the value.
If you change a value, a change history is saved. You can always see what Tagd originally extracted, what has changed, and by whom.
To see the entire document, click View.
At the top, you can see whether the agreement is active, whether it has been reviewed, and what type of agreement it is, for example a supplier agreement.
The agreement term determines how Tagd calculates the agreement period and reminders:
Open-ended agreement – the agreement has a start date and continues until it is terminated. There is often a notice period.
Fixed-term agreement – the agreement has a start date and an end date. Once the end date has passed, the agreement has ended.
Automatic renewal – the agreement has a term, for example one year, and a notice period. If you do not terminate the agreement in time, it is automatically extended. It is especially important to keep track of the notice period and receive a reminder well in advance.
Other – agreements that do not fit any of the terms above.
Under the term, you can see, among other things, the start date and notice period that Tagd has extracted.
Your organization and the person who owns the agreement at your organization are shown here, along with the other party and their contacts. Click the pencil to edit the information.
If Tagd cannot find an agreement owner at your organization, the default user specified when the account was set up is suggested. This way, no reminders are missed.
For contracts with automatic renewal, Tagd sends reminders by email to the contract owner. By default, the first reminder is sent 45 days and the second 3 days before the termination deadline. The second reminder is also sent to the emergency contact you have specified. You can change the timing under Administration > Organization > Notifications.
Tags. Click the pencil to add or remove tags. Depending on your account settings, you can create your own tags or choose from those created by the administrators.
Access. Here you can see who has access to the contract. Initially, this is the contract owner and the administrators. Access is updated when you move the contract to a folder.
Linked contracts. Link the contract as a parent or subordinate contract to another contract in Tagd.
Comments. Add your own comments about the contract.
Notes – add notes or attachments. If the agreement was submitted by email, the email is saved here.
Files – the uploaded PDF and any attachments are stored here. You can also upload more files.
Tasks – a task is automatically created for agreements with automatic renewal. You can also add your own tasks.
Some subscriptions have two additional tabs:
Details – questions tailored to the agreement type. For example, a lease agreement has questions about leasing, while a rental agreement has questions about rent.
Insights – general legal clauses that have been recorded in the agreement.
In the top-right corner, you can:
mark the agreement as reviewed
move the agreement
terminate the agreement
delete the agreement
manage access
view the full audit log.
When you are satisfied with the information, mark the agreement as reviewed and choose which folder it should be in. Then click Review and move.
The unreviewed icon disappears, the agreement is placed in the correct folder, and it is removed from the inbox. This is how you work through the agreements that come into the service.
Sometimes the first contract period of an automatically renewing agreement has already expired, for example, for an old agreement that is imported retroactively. Tagd then displays the original period as initial period and suggests a new contract period below it.
Until the agreement is registered, Tagd sends reminders based on the proposed period. So even if the agreement was signed several years ago, you will still receive a reminder in case it is still valid.
You then choose one of two options:
Mark the agreement as terminated if it is no longer valid. You can then add a termination note and enter the termination date and end date.
Confirm the proposed period if the agreement has continued to run. The period is updated and displayed as current contract period. Tagd then also calculates a new decision date, which is added as a task.
Finish by marking the agreement as reviewed and moving it to the correct folder. It is then taken care of.
